Client: Software company
Scenario: Start-up and
development of a business originally with 10 employees, some of
whom were shareholders as well as managers.
Weightmans’ Involvement and
Action: We helped our clients to secure initial funding,
including the preparation of a shareholders’ agreement and
investment agreements. We also advised on the securing of a
property to trade from and provided intellectual property advice on
the development of their new products. As the company became
established, we advised on contracts for software development work,
contracts of employment and employee incentive schemes.
Result: The business grew
very rapidly and within 3 years had nearly 100 staff and a
£multi-million turnover. At this stage, we assisted the managers in
a carefully planned exit by selling the company to one of its major
customers. This released value to the owner managers and
shareholders, and secured the long term viability of the business
by aligning it with one of its key strategic partners.
