Weightmans has advised the shareholders of Manchester Fertility Services, incorporating Semovo Limited, on its sale to TFP Fertility Group.

The transaction sees Manchester Fertility, one of the UK's longest-established fertility providers, join TFP, a leading fertility care provider, backed by US private equity firm Amulet Capital Partners, who has a growing network of clinics across the UK and Poland, further strengthening the group's presence in the North West.

Founded in 1986, Manchester Fertility has built a strong reputation for providing high-quality, patient-centred fertility treatment and donor services. Operating from its purpose-built clinic and laboratory in Cheadle, Greater Manchester, the business has developed a comprehensive offering through five specialist brands: Manchester Fertility, Essential Fertility, Semovo, Egg Donors UK and BuySperm.

Weightmans advised selling shareholders Jonathan Koslover and Deborah Falconer on the transaction, working alongside Manchester-based corporate finance advisers Clearwater International.

The sale represents a significant milestone for Manchester Fertility, which has grown over almost four decades from one of the UK's first specialist fertility clinics to now being a multi-pronged business offering services across fertility, donor treatments and preservation. Joining TFP provides an opportunity for the business to build on its established clinical expertise, specialist services and reputation for patient care, while benefiting from the resources and wider network of an international fertility group.

Paul Raftery, Partner at Weightmans, said:

"We've been legal partners to Manchester Fertility Services since 2016 and supported it thorough its evolution from its original roots as a pioneering independent IVF clinic into a five-brand business, combining fertility treatment with some of the UK's best-known donor services.

"Our corporate and healthcare regulatory teams have provided the formal technical support the businesses needed, but our relationship with Jonathan and Debbie has had its true foundations in many ways by our ability and willingness to provide the level of active, personal, trusted adviser support that so many owner managed businesses need and value.

"This deal exemplifies the strength of the North West's healthcare sector and the appetite of international investors for high-quality, UK businesses. We're confident that our work with Clearwater has set Manchester Fertility Services up for success in its new chapter."

Jonathan Koslover, shareholder of Manchester Fertility Services, said:

"We're incredibly proud of what we've achieved at Manchester Fertility over the years, growing from an independent fertility clinic into a leading provider of fertility treatment and donor services. That success is down to the dedication and expertise of our team, who have always put patients at the heart of everything we do.

"Finding the right partner was hugely important to us and we believe TFP is ideally placed to build on what we've created. Weightmans brought a calm, pragmatic approach to a demanding transaction under a tight timeframe, and the team's accessibility and personal support made a real difference to us as business owners. We're grateful to the teams at Weightmans and Clearwater for their advice and support throughout the sale process, helping us achieve a successful outcome and secure an exciting future for the business."

Manchester Fertility was advised by Paul Raftery, David Hayes, Matthew Hitchen, John Kemp, Haydn Rogan, Amal Kaur, Chris Doherty and Peter Nicholson from Weightmans, alongside Clearwater Corporate Finance and KPMG.

TFP Fertility Group and Amulet were advised by Lincoln International, McDermott Will and Schulte and EY
