The move will support Guthrie Douglas’s expansion into the US market
Weightmans has advised the shareholders of specialty shading systems provider, Guthrie Douglas, on the sale of a majority stake in the business to US-headquartered manufacturer Draper, Inc.
Founded in 1981 in Warwickshire, Guthrie Douglas is a family business and a team of specialist engineers focused on creating specialty shading systems for extraordinary spaces. The Guthrie Douglas product range is known globally as the market-leading, reliable solution for shading technically challenging windows and is frequently specified on some of the world’s most prominent buildings.
Draper is a fifth-generation, family-owned business based in Indiana, US. The business manufactures shading solutions, LED video wall mounting systems, projection screens, projector lifts and sports hall equipment.
Draper will strengthen Guthrie Douglas’s product and custom capabilities and support its expansion into the US market. The deal also represents a key milestone in Draper’s own growth strategy, complementing its recent investments in sales, product development, specification and customer service.
Following completion, Guthrie Douglas will continue to operate independently under the leadership of Managing Director Andrew Kitching, with the existing management team remaining in place. Draper’s Chris Broome and Jerry Crone will also join the board.
Weightmans, led by Partner Mike Clifford, acted as legal adviser to the shareholders of Guthrie Douglas. The team provided strategic advice on the transaction structure and documentation, safeguarding the interests of the sellers while enabling a smooth completion.
Weightmans coordinated negotiations with Draper and oversaw the successful execution of the cross-border agreement, playing a pivotal role in securing a deal that positions Guthrie Douglas for long-term growth alongside a global partner.
